REFERRAL PROGRAM TERMS

We are Lawtificial Integrity Ltd. (“Lawtificial Integrity”, “we”, “us”, “our”), a company registered in England and Wales under company number 16189879. We are an edtech company offering specialist courses on the legal, regulatory, and ethical aspects of artificial intelligence (AI) technologies.

1. LAWTIFICIAL INTEGRITY REFERRAL PROGRAM

Welcome to our Referral Program Terms and Conditions (“Referral Program Terms”). Please read these Referral Program Terms carefully as they govern the promotion of our website (“Site”), and educational courses (“Courses”) by referrers (“Referrer/s”). In these Referral Program Terms, the Site and Courses are collectively referred to as our products (“Products”).

The purpose of our Referral Program is to provide Referrers with incentives for promoting our Products, building our audience base and reach, and rewarding Referrers of our Products for their efforts. Where we admit an applicant to the Referral Program, such applicant will become our Referrer, and be considered an independent contractor. Referrer’s participation in our Referral Program does not constitute an employment relationship, agency, joint venture, or partnership between Referrer and us.

2. YOUR AGREEMENT TO OUR REFERRAL PROGRAM TERMS

By submitting an application to join the Lawtificial Integrity Referral Program, registering as a Referrer, and/or participating in our Referral Program, you acknowledge and agree that these Referral Program Terms form a legally binding contract between you (or the entity you represent) and Lawtificial Integrity. Your participation indicates your acceptance of these Referral Program Terms. If you are acting on behalf of a company or another entity, you confirm that you have the necessary authority to bind that entity to these terms. If you do not agree to these Referral Program Terms, please refrain from applying to or engaging in our Referral Program.

These Referral Program Terms shall supersede any other terms concerning the relationship between us, applicants to our Referral Program, and Referrers.

3. YOUR APPLICATION

When an applicant submits an application to participate in our Referral Program, we will review the application and inform the applicant of the outcome of their application.

Should we have any questions about an application, we will reach out to the applicant using the provided email address. This may be required to clarify specific details or to gather additional information regarding the applicant’s promotional plans for our Products.

We may reject an application to our Referral Program if we determine the application fails to meet the standards of our Referral Program at our sole judgment. Upon approval of their application, we will provide with a custom referral link (“Referral Link”) that they can use to refer and promote our Products. Referrer will have custom access to their Referrer area on our Referral Program Portal where they can view data on visits, referrals, and generate their Referral Link.

A referrer relationship between an applicant and us will form only where we approve the application and admit them as a Lawtificial Integrity Referrer. An applicant should not consider nor hold themselves out as a Lawtificial Integrity Referrer when their application is under review with us, or where it is rejected.

4. ELIGIBILITY AND AUTHORITY TO PARTICIPATE

By participating in our Referral Program, you confirm and warrant that you are 18 years of age or older. Further, by submitting an application on behalf of an entity, you confirm and warrant that you have the required authority to legally represent and bind the entity to these Referral Program Terms. Only one Lawtificial Integrity Referrer account per individual or legal entity is allowed.

5. PROMOTIONAL MATERIALS

Referrer will have access to promotional materials from Lawtificial Integrity, such as button links, text links, banner advertisements, other graphic or textual material for display and use on the Referrer’s website and social media channels (the “Promotional Materials”). Referrer shall prominently display the Promotional Materials on their social media website or channel, as Referrer sees fit, and the presentation and display of the Promotional Materials shall be subject to these Referral Program Terms. Referrer shall also include a Referral Link from the Promotional Materials to our Products.

6. YOUR USE OF OUR PROMOTIONAL MATERIALS

Referrer’s handling, presentation, and use of the Promotional Materials on Referrer’s site or social media channel must adhere to the following:

Except for the designated Promotional Materials, Referrer may not use any other graphical, textual, or promotional materials to advertise or promote Lawtificial Integrity without first obtaining written authorization from Lawtificial Integrity.
Promotional Materials may exclusively be used by the Referrer to promote Lawtificial Integrity and our Products.
Referrer shall not change, add, remove, or otherwise modify the Promotional Materials as provided by Lawtificial Integrity. Any alterations or modifications require prior written approval from Lawtificial Integrity.
Referrer may use the Promotional Materials exclusively to link to our Products, directing to the specific page and URL provided by us.
When displaying the Promotional Materials, Referrer must ensure that any prices are accurate and up-to-date, including any applicable discounts.

7. REFERRER LICENSE

Referrer is granted a non-exclusive, non-transferable license by Lawtificial Integrity (“Referrer License”) to use the Promotional Materials exclusively for promoting our Products. This license is intended for personal use only and does not permit the Referrer to use/associate/link our Promotional Materials with another brand, or incorporate them in a bundled/combined campaign or collaboration. Referrer may not grant third parties access to, or permit others to use the Promotional Materials under this license. The Referrer License will automatically expire when these Referral Program Terms expire or are terminated.

8. INTELLECTUAL PROPERTY

The rights, ownership, and interest in the Promotional Materials, along with any associated copyrights, trademarks, and intellectual property, fully remain with Lawtificial Integrity and our licensors. These Referral Program Terms do not confer upon Referrer any rights, ownership, or interest in the Promotional Materials, or any intellectual property contained therein, other than the rights granted under the Referrer License as outlined in Section 7 of these Referral Program Terms.

Referrer may not duplicate or copy any content from the Lawtificial Integrity Site or other sources as-is, verbatim, or word-for-word. Instead, all content must be paraphrased before being used by Referrer.

Referrer is also not allowed to replicate the appearance, layout, visuals, and/or design of our Site, webpages, or Products.

9. RELATIONSHIP BETWEEN US

These Referral Program Terms do not create an employment, agency, joint venture, or partnership relationship between us and Referrer. Referrer will provide services as an independent contractor, and has no authority to bind us to any agreements, make decisions on our behalf, or act as our agent in any respect.

Referrer may not use or involve sub-referrers, affiliates, or any third parties in our Referral Program, nor is Referrer allowed to share their referral fees with others.

These Referral Program Terms do not grant any statutory rights to individuals or entities that are not parties to this contract, either directly or indirectly, in regard to the enforcement of these Referral Program Terms.

10. COMMISSIONS

The following outlines the details of Referrer’s commissions (“Commissions”):

For displaying the Promotional Materials in the performance of these Referral Program Terms, Referrer will earn a Commission from Lawtificial Integrity, calculated as a percentage of our Products sold to customers via a Referral Link on Referrer’s website or social media channel(s). The Commission percentage for our Products is mentioned on our Site, and may be modified at any time at our sole discretion. We will endeavor to notify Referrer of any updates to the Commission percentage on the email address we have on file. Commission will be based on subscriptions purchased by new customers that were referred by Referrer. Referrer will not be entitled to Commission payments on subscription purchases they make directly. Referrer will not receive Commission for transactions that are refunded or charged back.
Referrer will receive Commission for any new subscription purchases made through the Referral Link. Payment will be issued to Referrer’s PayPal account, based on the email address on file with Lawtificial Integrity. Referral Commissions will be paid monthly, with the third week of each month reserved for processing payouts for all sales that are at least 45 days old. For example, a payout on March 15, 2025, will cover referral sales made on or before January 31, 2025. To trigger the payout, the Commission must be at least $250 USD.
Sales tracking is done via the user/visitor’s IP address and cookies. Upon clicking the Referral Link, a cookie is set in the user’s browser to track the referral, and it remains valid for 30 days, allowing sufficient time for the user to decide whether to complete the purchase. Referral Commissions will not be earned under these circumstances: when a user switches browsers to complete the purchase, causing the cookie to be absent, or when the purchase occurs more than 30 days after clicking the Referral Link (due to the cookie expiration).
Referrer is not allowed to purchase subscriptions to our Products through Referrer’s own Referral Link.
Referrer shall not claim, imply, or suggest that users can receive a discount on our Products by making a purchase through their Referral Link, nor promote or advertise any cashback offers, bonus programs, or discount coupons.
Where the contract between Referrer and us is terminated due to Referrer’s breach of these Referral Program Terms, we shall have no obligation to pay any Commission, and any accrued Commissions owing to Referrer will be forfeited.

11. TAXES ON YOUR COMMISSIONS

It is the sole responsibility of Referrer to report and pay any applicable taxes related to Commissions earned through this Referral Program. Lawtificial Integrity will not withhold, remit, or be liable for any taxes on the Referrer’s behalf.

12. CONFIDENTIALITY OF COMMISSIONS

Referrer must uphold the confidentiality of their Commissions at all times, and refrain from disclosing their Commission accruals or earnings to any third party. All details about commissions and payments between Referrer and Lawtificial Integrity are confidential. Referrers are bound by this confidentiality requirement and must not share or discuss Commission information any time and/or under any circumstances.

13. YOUR REPRESENTATIONS AND WARRANTIES

Referrer represents and warrants the following:

Referrer confirms they possess the necessary legal authority to enter into these Referral Program Terms and bind themselves, or the entity they represent, to these Referral Program Terms.
Referrer has ensured all required permissions, licenses, and clearances are in place for the use of any Promotional Materials or intellectual property from Lawtificial Integrity featured on their website. Referrer also guarantees that nothing on their website violates the intellectual property rights of others, and that no claims of infringement have been made, threatened, nor does Referrer anticipate such claims.
Referrer shall not use the Promotional Materials for any purpose, or in a manner, other than described in Sections 5 and 6 of these Referral Program Terms.
Referrer acknowledges that they have no ownership rights to the Promotional Materials or any intellectual property, including copyright or trademark, associated with them. Referrer will not assert any rights to the Promotional Materials or any underlying intellectual property, such as copyright or trademark in the Promotional Materials.
Referrer will not distribute or publish any marketing collateral, promotional assets and/or content, for their website that mention our Site or Products without receiving prior written consent from us in relation to the publication and/or distribution of such marketing collateral, promotional assets and/or content. Referrer will not use our brand, Lawtificial Integrity, (or any phrase or name that can be confused with our brand) for any purpose on its website, social media channels, in any of its marketing collateral, promotional assets and/or content, except to refer and promote our Products. Referrer will not register any domain name that bears any actual or perceived similarity, incorporates any derivative or variation of ‘Lawtificial Integrity’, or could be confused with our brand.
Referrer will not send any unsolicited bulk emails (spam) containing references to Lawtificial Integrity, our Site or Products.
Referrer’s website or social media channels do not feature any content that is: sexually explicit, obscene, or pornographic; offensive, hateful, or discriminatory based on race, religion, gender, or other factors; graphically violent, including violent video game content; encouraging unlawful or misleading behavior (for example, expired or invalid discounts, coupons or promotions); or offering cash incentives or unlawful promotions through the Referral Link.
Cloaked links used by the Referrer to guide users to our website must be configured with 301 redirects, without exception.
Referrer will not purchase ads through services like Google AdWords, social media platforms, or engage in retargeting campaigns that use our brand keywords, or engage in any type of paid promotion or advertising.
Referrer will not participate in unethical activities and deceptive practices such as click fraud, click spoofing, typosquatting, malware dissemination, hidden landing pages, and the use of stolen data, as well as URL hijacking, cookie stuffing, malicious adware, SDK spoofing, and malvertising. Referrer must supply verifiable proof that their traffic source adheres to legitimate and acceptable practices. Any breach could lead to immediate termination of these Referral Program Terms.
Referrer will comply with all applicable laws, including both domestic and international regulations regarding exports and the transmission of unsolicited emails. Referrer will also follow all relevant governmental decrees, regulations, ordinances, and judicial orders. Referrer will not participate in any illegal, unethical, misleading, or deceptive marketing practices that could negatively affect, or potentially harm the general public, Site visitors/users our customers, or us as the Referral Program provider.
Referrer will dedicate sufficient effort and time to promote Lawtificial Integrity, with a focus on quality. Should we find that the promotional material is offensive, illegal, unethical, or objectionable, we reserve the right to immediately terminate the Referrer’s participation in the Referral Program.
Referrer will not engage in any deceptive or unethical practices, including, but not limited to, misleading tactics to entice users into clicking on banners. Referrer will not utilize browser add-ons, toolbars, downloadable applications, or any other automated means to artificially generate traffic or clicks. Additionally, Referrer must not engage in click fraud, use any form of clickbait, or employ any tactic that manipulates user behavior or misrepresents the purpose of our Promotional Materials. Any use of such methods will result in immediate termination from the Referral Program, and potential legal action if applicable.
Referrer will comply with the export laws and regulations of the United States, and any relevant local export laws. Referrer much confirm that exports are not made to residents/citizens and/or associates of countries that are under economic sanctions or prohibitions by the Office of Foreign Assets Control (OFAC) of the US Department of the Treasury. Referrer is prohibited from exporting, re-exporting, or transferring our Promotional Materials or Site links to any prohibited or sanctioned individuals or countries. Referrer must also prevent the use of our Products by prohibited or sanctioned individuals or countries.
Referrer retains full responsibility and liability for all actions and activities conducted under their Referrer account, including any violations of these Referral Program Terms. This includes ensuring that all actions, whether by the Referrer or any individuals acting on their behalf, are compliant with the terms and obligations set forth in these Referral Program Terms.
Referrer shall not assign or transfer their rights or obligations under these Referral Program Terms, in whole or in part, unless written permission is granted by us.
Any failure to comply with the representations and warranties outlined in this Section 13 of these Referral Program Terms will be regarded as a material breach, leading to the immediate termination of the Referrer’s participation in the Lawtificial Integrity Referral Program. Commissions earned from any actions contrary to these terms will be forfeited, and any ongoing obligations or payments may be nullified.
Upon a breach of any provision of this Section 13, Referrer will without delay remove all Promotional Materials from their website and social media accounts and erase all copies of Promotional Materials.

14. COUPON ADVERTISING RULES

Lawtificial Integrity reserves the right to offer coupons to select Referrers and/or newsletter subscribers. Referrers who have not been granted prior approval or assigned a branded coupon are not permitted to advertise, promote, refer, or distribute the coupon in any way. Referrers considering the promotion of our Products with a deal or coupon must adhere to these guidelines:

Only officially assigned coupon codes may be advertised; unauthorized coupons must not be listed.
Referrers are strictly prohibited from promoting coupon codes found on other websites, or sourced from external sites.
All Referral Links, buttons, or images must accurately represent the authorized deal without misleading claims.
The use of deceptive language suggesting undisclosed or additional discounts is not permitted.
Referrer should not mention misleading terms or phrases implying the availability of coupons.
Referrers must ensure that all promoted coupons are valid and up to date. Expired or outdated coupons must not be advertised.
The use of forced redirects, automatic cookie-setting methods (including pop-ups, pop-unders, or hidden iframes), or any deceptive techniques is strictly forbidden. Tracking cookies can only be set if a user voluntarily clicks on a clearly designated link, button, or image indicating their intent to redeem a specific deal. All Referral Links must always direct users to our official Site and Products.
Referrer must ensure that users have full access to coupon, deal, or savings information before a tracking cookie is placed. It is not permitted to pre-set cookies before a user has seen the offer details. Referrer is strictly prohibited from using deceptive methods such as hiding deal details until after a click, or setting Referrer cookies in advance.
Referrers may not display deceptive text such as “Click to Unlock Coupons/Deals”, when no valid offers are available. Any instance where users are misled into clicking, leading to the merchant site or setting cookies improperly, will result in the Referrer’s immediate removal from our Referral Program.
Referrer is prohibited from using spam-based promotion methods or marketing our brand and/or Products on low-quality, auto-generated websites. Sites containing auto-generated content without meaningful human involvement in content creation, or existing solely for SEO manipulation are not acceptable.
Where Referrer is unsure of whether their website falls under the category of wholly automated sites, such Referrer remains responsible and must proactively disclose their promotional strategies at the time of applying to our Referral Program.
Referrer must not mislead users by promoting unauthorized discounts or coupon codes for Lawtificial Integrity. The targeted use of phrases such as “Lawtificial Integrity discount,” “Lawtificial Integrity coupon,” “Exclusive Lawtificial Integrity offer,” or similar terms in website domains, URLs, meta tags, titles, or paid advertisements is strictly prohibited.

The provisions of this Section 14 are in place to ensure ethical marketing practices. Referrer’s failure to comply may lead to disqualification from the Referral Program, termination of their status as a Lawtificial Integrity Referrer, and forfeiture of any earned Commissions.

15. INDEMNIFICATION

Referrer shall indemnify, defend, and hold us and our officers, directors, licensors, employees, subcontractors, service providers, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable legal and attorneys’ fees, incurred in connection with or arising from:

any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your breach of these Referral Program Terms, your violation of any law, regulation, or the rights of a third party.
the use or misuse by Referrer of our Promotional Materials.

16. TERMINATION

Lawtificial Integrity retains the sole discretion to terminate any Referrer account at any time, with or without cause, including but not limited to violations of these Referral Program Terms.

Where a Referrer’s account remains inactive for an extended duration, Lawtificial Integrity may deactivate or terminate the account. To continue earning referral commissions, Referrer is encouraged to actively promote our Products. For promotional guidance or support, Referrer may contact us at hello@lawtificialintegrity.ai, and we will be happy to assist.
If a Referrer account does not generate any commissions within six months, it will be deemed dormant. We reserve the right to deactivate such accounts, reset the balance, and forfeit any pending earnings. Deactivation may occur without prior notice.
Referrers must use only permitted promotional methods. Any violation of these Referral Program Terms may result in referrals being declined and account suspension, potentially without prior notice. Lawtificial Integrity strongly advises all Referrers to adhere to compliant marketing strategies to ensure continued participation in our Referral Program.
If a Referrer account is terminated, these Referral Program Terms will immediately and automatically cease to apply and stand terminated. The Referrer will no longer have any rights or privileges under these Referral Program Terms.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, in no event will we, our officers, directors, employees, agents, suppliers or licensors be liable for any direct, indirect, incidental, special, exemplary, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, suspension and/or interruption of services, business interruption, loss of anticipated savings, loss of business opportunity), arising out of or associated with any loss, suspension, disruption, or interruption of service, termination of these Referral Program Terms, use, display, or misuse of the Promotional Materials, or other performance of services under these Referral Program Terms however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if we were or should have been aware or advised of the possibility of such damage/s or could have foreseen such damage/s.

18. REFERRAL PROGRAM TERMS UPDATES

By participating in the Lawtificial Integrity Referral Program, Referrer acknowledges and agrees to be bound by these Referral Program Terms. Participation in the program constitutes full acceptance of these Referral Program Terms, as updated from time to time.

Lawtificial Integrity reserves the right to update, modify, or discontinue any part of these Referral Program Terms at its sole discretion. Any changes will be effective immediately upon posting on our website. It is the Referrer’s responsibility to review the Terms periodically. Continued participation in the Referral Program after any modifications constitutes acceptance of the updated Terms.

19. SEVERABILITY

If any provision of these Referral Program Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full effect. In the event that a provision is deemed unenforceable, it will be interpreted to the extent necessary to make it enforceable, while maintaining the intent of the original provision.

20. FORCE MAJEURE

We shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including without limitation (i) natural disasters, (ii) storms, typhoons, hurricanes, earthquakes, and other natural elements (iii) failure of equipment or other means of telecommunication, (iv) breakdown of webhost or internet service provider, (v) power failures or surges, (vi) acts of war and/or terrorism, (vii) equipment failure, (viii) unavailability of labor or material, (ix) health risks, including epidemics and pandemics.

21. DATA PROTECTION AND ADVERTISING COMPLIANCE

When processing data and providing referral services under these Referral Program Terms, Referrer is required to comply with all applicable laws governing advertising, privacy, and data protection, which include, but are not limited to, the EU General Data Protection Regulation (EU GDPR), UK General Data Protection Regulation (UK GDPR), UK Data Protection Act 2018, ePrivacy rules for EU citizens, and Federal Trade Commission (FTC) guidance. Referrer must also comply with the California Consumer Privacy Act of 2018 Cal. Civil Code § 1798.100 et seq. (CCPA) and other relevant data privacy laws for US citizens. We will process the personal data of users and/or our customers as set out in our Privacy Policy, which is incorporated by reference into these Referral Program Terms.

22. NO UNAUTHORIZED DISTRIBUTION OR MODIFICATION

During their participation in the Referral Program, Referrer is strictly prohibited from distributing our Promotional Materials or Products to third parties. Additionally, Referrer may not alter or create derivative works of our brand or Products in any form. This policy ensures that our Products are only distributed through authorized channels and are not modified in any way. If Referrer creates any content that incorporates our intellectual property, such as promotional videos featuring our logo, they must immediately delete or destroy such content upon our request.

23. REFERRAL PROGRAM NEWS AND PROMOTIONS

Referrer agrees to receive email updates from Lawtificial Integrity, including newsletters, marketing content, and special offers. These messages will be specifically addressed to Referrer and may contain crucial information about the Referral Program, along with promotions and updates to aid in promoting our Products. Some communications may include embargoed content, which cannot be shared before the embargo expires. To ensure delivery, Referrer must add our email address to their approved senders list. We adhere to responsible communication practices and do not engage in spamming.

24. TRANSPARENT, CLEAR AND CONSPICUOUS REFERRER DISCLOSURE

Referrer must ensure that any use of Referral Links in their content, including articles, videos, or blog posts, includes a clear, conspicuous disclosure of their material connection. The disclosure must be visible on the same page as the Referral Link and cannot require additional actions from users (for example, scrolling, clicking, interacting with, or hovering on any element of the page) to be shown.

Referrer is required to place referral disclosures where they will be prominently visible and easily understood by an average visitor to their site or social media channel. Placing disclosures in hidden, or obscure sections like “FAQs/About Us” pages, within hidden hyperlinks, or in terms of service agreements does not meet this requirement. Disclosures should be positioned close to the Referral Link itself to ensure clear communication. Referrer must place disclosures in a location where they will be easily noticed and understood by the average person visiting their social media site, or channel.

Sample Referral Commission Disclosure: “Some of the links in this article/video description are referral/affiliate links. If you choose to purchase through them, I will earn a small commission, at no additional cost to you. Thank you for supporting my work!”

25. HEADINGS

The headings used in these Referral Program Terms are for convenience only, and shall not influence the interpretation or construction of any provision in these Referral Program Terms.

26. GOVERNING LAW AND JURISDICTION

These Referral Program Terms shall be governed and interpreted in accordance with the laws of England. The courts of England shall have exclusive jurisdiction to hear and determine or otherwise settle any and all disputes which may arise out of or in connection with these Referral Program Terms or their subject matter.

27. NO WAIVER

Any delay or inaction on our part to exercise or enforce any right or provision of these Referral Program Terms shall not constitute a waiver of such right or provision.

28. THIRD PARTY RIGHTS

These Referral Program Terms are a contract is between you and us. No other person shall have any rights to enforce any of its provisions.
